QLAMaster LTD – Terms & Conditions of Service

These Terms & Conditions (“Terms”) govern access to and use of the QLAMaster online question-level-analysis platform (“Service”) supplied by QLAMaster LTD (“we”, “us”, “our”), Company No. 16543970, 71-75 Shelton Street, Covent Garden, London WC2H 9JQ, United Kingdom.

By accessing, browsing or using any part of the Service — including during the free-trial period — or by creating an account, paying an invoice or otherwise using the Service, the organisation named at signup or checkout (“School”) acknowledges that it has read, understood and agrees to be bound by these Terms. If a School is part of a multi-academy trust (“MAT”), each individual academy is treated as a separate School unless a written MAT contract is agreed.

1  Definitions

SubscriptionA prepaid, 12-month licence for one subject–exam-board–level package (e.g. GCSE English Language – AQA).
Subject PackageThe content, analytics and resources relating to a specific exam board, subject and level.
Admin AccountThe first account created for a School; used to invite teachers and manage billing.
Teacher AccountAn individual user account for teaching staff at the School.
Student AccountA pupil account (age 14+) created by, or on behalf of, the School.
ContentQuestion papers, mark schemes, resources or data uploaded by users.

2  Licence

2.1 Grant. We grant the School a non-exclusive, non-transferable licence during the Subscription Term to allow its authorised Admin, Teacher and Student Accounts to access the purchased Subject Packages for internal educational use.

2.2 Restrictions. The School must not (i) resell the Service; (ii) reverse-engineer the platform; or (iii) permit unauthorised users to access paid Packages.

3  Fees & Payment

  • Subscriptions are sold per School, per Subject Package and are billed instantly via Stripe at checkout.
  • The Subscription Term starts the moment payment is received and verified.
  • No refunds or pro-rata credits are offered. A School may cancel within 14 days of the Subscription Start Date only if it has not uploaded data or otherwise begun substantive use of the Service; after such use, or after 14 days (whichever is earlier), all fees are non-refundable.

4  Term & Renewal

Each Subscription lasts 12 months from the Subscription Start Date. We will send renewal reminders at least 30 days before expiry. If a Subscription is not renewed, access to the relevant Subject Package will be suspended the day after expiry.

5  Free Trial

The Service is free to use until 1 September 2025. Continued use after that date requires at least one paid Subscription; otherwise access will be suspended.

6  Service Levels & Maintenance

  • The platform is hosted on Amazon Web Services (London & Dublin) and routed via Cloudflare EU. We use commercially reasonable efforts to maintain high availability of the Service.
  • Planned maintenance will be notified at least 48 hours in advance and scheduled outside UK school hours where feasible.
  • If unscheduled downtime occurs, we will email Admin Accounts within 24 hours, including cause and remediation timeline.

7  User-Generated Content

7.1 Licence to QLAMaster. Teachers may upload resources (e.g. bespoke question papers) matching their active Subscription. The School grants us a non-exclusive, royalty-free licence to store, copy and process that Content solely to operate and improve the Service.

7.2 Content Standards. Uploaded Content must not infringe copyright or contain unlawful material. We may remove Content that, in our reasonable opinion, breaches these Terms.

7.3 Internal Use of Mapped Content. Teachers may upload or input mappings or metadata derived from copyrighted or licensed assessment materials, provided such use is limited to internal use by their School. The Service does not access, reproduce or distribute the source materials. The School confirms it holds appropriate rights to use such materials for internal educational purposes.

8  Age & Account Administration

  • Student Accounts are permitted only for pupils aged 14 or older. Younger pupils may be added once we release primary features and update these Terms.
  • The Admin Account is responsible for (i) verifying user age; (ii) securing login credentials; and (iii) removing leavers’ access.

9  Data Protection

Both parties will comply with UK GDPR. Our Data Processing Agreement (DPA v1.0) forms part of these Terms.

10  Intellectual Property

10.1 Platform IP. We retain all intellectual-property rights in the platform code, analytics and default resources.

10.2 Teacher-Supplied Metadata. Metadata or mappings uploaded by the School (e.g. topic codes or spec references) remain the property of the School and are used solely for the purpose of operating the Service within the School's account. We do not share or republish such data outside the School unless explicitly authorised.

11  Limitation of Liability

Nothing limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded under law. Subject to that, our aggregate liability under these Terms is limited to the total fees paid by the School in the 12 months preceding the claim.

12  Termination

We may suspend or terminate access immediately for material breach (e.g. non-payment, misuse). On termination, Clauses 7, 9, 10 & 11 survive.

13  Changes to Terms

We may update these Terms to reflect legal or operational changes. We will give at least 30 days’ notice via email. Continued use after the effective date constitutes acceptance.

14  Force Majeure

Neither party is liable for any delay or failure to perform its obligations (except payment obligations) if the delay or failure results from events, circumstances or causes beyond its reasonable control, including but not limited to acts of God, flood, fire, pandemic, war, governmental action, failure of suppliers or sub-processors, or widespread Internet outage. The affected party shall use reasonable endeavours to mitigate the effect of any such event.

15  Entire Agreement

These Terms and the documents expressly incorporated by reference (including the Principal Agreement, order form and Data Processing Agreement) constitute the entire agreement between the parties and supersede all prior proposals, discussions and agreements, whether written or oral, regarding their subject matter.

16  Assignment

QLAMaster LTD may assign or novate its rights and obligations under these Terms to an affiliate or in connection with a merger or asset sale, by giving the School 30 days’ written notice. The School may not assign or transfer any rights or obligations under these Terms without our prior written consent, such consent not to be unreasonably withheld.

17  Support

All support requests must be submitted by email to [email protected] (or any support address we publish from time to time). We aim to reply within 2 business days. Urgent security notices reported to [email protected] are prioritised.

18  Information Disclaimer

The content, guidance and analytics provided by the Service are for general educational support only and should not be relied upon as professional advice. The School is responsible for verifying all outputs before acting on them.

19  Links to Third-Party Sites

The Service may contain links to third-party websites or resources. We provide these links for convenience only and are not responsible for their content or availability. Following a link is at your own risk.

20  Viruses & Security

We use industry-standard measures to keep the platform secure but do not guarantee it will be free from bugs, viruses or malicious code. The School is responsible for implementing its own antivirus protection and secure network configuration.

21  Acceptable Use & Removal of Content

Users must not upload unlawful, infringing, or harmful content, or use the platform to train AI models without our written consent. We may remove or disable access to any content that breaches these Terms.

22  Governing Law & Jurisdiction

These Terms are governed by English law. The courts of England & Wales have exclusive jurisdiction.
