QLAMaster LTD – Terms of Service

These Terms of Service ("Terms") govern access to and use of the QLAMaster online question-level analysis platform ("Service") supplied by QLAMASTER LTD ("we", "us", "our"), Company No. 16543970, registered at 71-75 Shelton Street, Covent Garden, London, WC2H 9JQ, United Kingdom.

These Terms apply to the school, academy, college or other educational organisation purchasing or using the Service ("School").

By creating an account, purchasing a Licence or AI Mapping Credits, or continuing to use the Service, the School agrees to these Terms.

Any person creating an Admin Account, completing a purchase or otherwise accepting these Terms on behalf of a School confirms that they are authorised to act for and bind that School.

If a School forms part of a multi-academy trust ("MAT"), each academy is treated as a separate School unless a separate written MAT agreement has been agreed with us.

1  Definitions

2  Licences

2.1 Grant. Once payment has been successfully received and verified, we grant the School a non-exclusive, non-transferable right during the applicable Licence Term to use the Service for the purchased Licensed Subject for the School's internal educational purposes.

2.2 Licence scope. A Licence applies only to the subject and level identified at the time of purchase unless otherwise agreed by us in writing.

2.3 School use. A Licence is purchased for use by the purchasing School. It must not be resold, transferred to another organisation or made available to unauthorised users.

2.4 Restrictions. Users must not reverse-engineer, interfere with, circumvent security controls on, or attempt unauthorised access to the Service.

3  AI Mapping Credits

QLAMaster provides optional AI-assisted paper mapping functionality.

Use of AI-assisted paper mapping consumes AI Mapping Credits. The number of credits used may vary depending on the assessment, document and processing required.

AI Mapping Credits are separate from standard Licence access unless a particular offer expressly states that a number of credits is included with that Licence.

Additional AI Mapping Credits may be purchased separately where credit packs are available.

Credit balances

AI Mapping Credits are held against the relevant School account and may be shared between authorised users of that School account where the Service permits.

AI Mapping Credits:

• have no cash value;
• cannot be exchanged for money;
• cannot normally be transferred to another School;
• are deducted when eligible AI-assisted mapping is successfully processed; and
• may be subject to promotional or expiry conditions where those conditions are clearly stated at the time the credits are granted or purchased.

Failed or incomplete mappings

QLAMaster is designed so that AI Mapping Credits are charged in connection with successfully processed AI-assisted mapping.

If a technical error causes credits to be deducted incorrectly, the School should contact us. We may investigate the transaction and restore credits where we reasonably determine that an incorrect deduction occurred.

Incorrect credit balances

We may correct an AI Mapping Credit balance where there is an obvious technical or administrative error, duplicate credit allocation, payment reversal, refund, chargeback, fraud or abusive activity.

We will not intentionally remove legitimately purchased credits without a valid reason.

Account closure

Unused AI Mapping Credits are not redeemable for cash. If the School's QLAMaster account is permanently closed or terminated, unused credits will cease to be available once access to the account ends unless applicable law or a written agreement requires otherwise.

Changes to credit calculation

The technical method used to calculate AI Mapping Credit usage may change as the Service develops.

Any material changes affecting the expected usage or value of newly purchased credits will be reflected in information presented to customers before purchase or use.

4  Fees & Payment

• Prices shown at checkout apply to the products selected at the time of purchase.
• Payments are processed using Stripe.
• A Licence becomes active once the relevant payment has been successfully received and verified.
• AI Mapping Credits purchased separately are added to the relevant School account after successful payment confirmation.
• Prices may change for future purchases. A price change does not alter an existing paid Licence during its current Licence Term.
• MAT or larger organisation pricing may be available by agreement. Contact [email protected] .

5  Cancellations & Refunds

Unless otherwise required by law or expressly agreed by QLAMASTER LTD in writing, payments for Licences and AI Mapping Credits are non-refundable.

Purchases provide access to digital services and functionality for the period or usage entitlement described at the time of purchase. A decision by the School not to use, or to stop using, the purchased Licence or AI Mapping Credits does not create an entitlement to a refund, credit or pro-rata reimbursement.

We may, at our discretion, correct duplicate charges, payment errors or other billing mistakes and may issue a refund or account credit where we consider this appropriate.

Where a payment is reversed, refunded or subject to a successful chargeback, we may remove or suspend the associated Licence, AI Mapping Credits or other access granted as a result of that payment.

Nothing in these Terms excludes or limits any right or remedy that cannot lawfully be excluded.

6  Licence Term & Extension

Each Licence normally lasts for 12 months from the date the purchase becomes active.

Where an active Licence is extended, the additional period is added to the existing expiry date.

Where an expired Licence is purchased again, the new 12-month period normally begins from the date of the new purchase.

If a Licence expires without being extended, access to features or content requiring that Licence may be restricted until a valid Licence is purchased.

7  Service Availability & Maintenance

We use reasonable efforts to keep QLAMaster available and operating reliably.

The Service may occasionally be unavailable because of maintenance, upgrades, technical faults, security work or circumstances outside our reasonable control.

Where reasonably practical, we will seek to minimise disruption and provide appropriate information about significant planned or ongoing service interruptions.

We do not guarantee uninterrupted or error-free availability of the Service.

8  User Content

8.1 School Content. The School retains ownership of Content it uploads, enters or creates, subject to any rights belonging to third parties.

8.2 Permission to process Content. The School grants QLAMASTER LTD a non-exclusive licence to host, copy, process and otherwise handle its Content to the extent reasonably necessary to provide, secure, support and operate the Service.

8.3 School responsibility. The School is responsible for ensuring that it has all necessary rights, licences, permissions and lawful authority to upload, enter or process Content using QLAMaster.

The School warrants that its Content and its use of the Service will not knowingly infringe third-party intellectual property rights, breach confidentiality obligations or otherwise be unlawful.

8.4 Third-party claims. To the extent permitted by law, the School will be responsible for reasonable losses, liabilities, costs and expenses incurred by QLAMASTER LTD as a direct result of a third-party claim caused by the School's material breach of clause 8.3.

This does not apply to the extent that the relevant loss or claim was caused by QLAMASTER LTD's own breach of these Terms, negligence or unlawful conduct.

8.5 Removal of Content. We may remove or restrict access to Content where we reasonably believe it breaches these Terms, applicable law, third-party rights or the security of the Service.

9  Assessment Materials & Mappings

Schools may upload or create mappings, metadata or other information relating to assessments where they have the appropriate rights to do so.

The School is responsible for ensuring its use of assessment materials, question papers, mark schemes and other third-party content complies with applicable copyright, licensing and examination-board requirements.

QLAMaster is an independent platform designed for UK assessment workflows and is not affiliated with or endorsed by any exam board unless expressly stated otherwise.

10  AI-Assisted Outputs

AI-assisted paper mapping uses automated technology to assist users in identifying assessment structure, marks, topics and mappings.

AI-generated or AI-assisted outputs may contain errors, omissions or inaccurate interpretations.

Users must review AI-assisted outputs before relying on them or using them with pupils, colleagues or assessment data.

QLAMaster does not guarantee that AI-assisted outputs will be error-free or suitable for every assessment.

11  Accounts & Security

The School is responsible for ensuring that accounts are created only for authorised users and that account information is kept accurate.

Users must keep passwords and authentication details secure and must not knowingly allow another unauthorised person to use their account.

The School should promptly remove or disable access for members of staff who are no longer authorised to use the Service.

We may suspend or disable credentials where we reasonably believe an account has been compromised, used unlawfully or used in breach of these Terms.

12  Data Protection

Each party will comply with its applicable obligations under UK data-protection law.

Where QLAMASTER LTD processes personal data on behalf of the School, our Data Processing Agreement forms part of the contractual arrangements between us.

Our Privacy Policy explains how QLAMASTER LTD processes personal data in its capacity as a data controller.

13  Intellectual Property

QLAMASTER LTD retains all intellectual property rights in the QLAMaster platform, software, design, systems, functionality and materials created by us.

Content, mappings or data supplied by the School remain subject to the School's or relevant third party's existing ownership rights.

Nothing in these Terms transfers ownership of QLAMaster's intellectual property to the School.

14  Acceptable Use

Users must not:

• use the Service for unlawful purposes;
• attempt to gain unauthorised access to systems, accounts or information;
• upload malicious software or harmful material;
• deliberately interfere with the operation or security of the Service;
• resell or commercially redistribute access without our written permission;
• scrape, systematically extract or reproduce substantial parts of the Service without permission;
• use QLAMaster's proprietary software, outputs or materials to train competing machine-learning or AI systems without our written consent.

15  Support

Support requests may be submitted using the support tools available within QLAMaster or by contacting [email protected] .

We aim to respond to support requests within a reasonable period, taking into account the nature and urgency of the request.

16  Suspension & Termination

We may suspend or restrict access where reasonably necessary because of:

• non-payment;
• material breach of these Terms;
• security concerns;
• unlawful or abusive use;
• fraud or suspected fraud; or
• risk to QLAMaster, its users or third parties.

Where reasonably practical, we will provide notice and an opportunity to remedy the issue before terminating access, unless immediate action is justified.

17  Educational Information Disclaimer

QLAMaster provides tools, analytics and generated materials to support teachers and schools.

Outputs should be reviewed by an appropriately qualified member of staff before being relied upon for teaching, assessment or educational decisions.

QLAMaster does not replace professional teacher judgement.

18  Limitation of Liability

Nothing in these Terms excludes or limits liability where doing so would be unlawful, including liability for death or personal injury caused by negligence or for fraud.

Subject to the above, and to the fullest extent permitted by law, QLAMASTER LTD's aggregate liability arising out of or in connection with the Service will not exceed the total fees paid by the School to QLAMASTER LTD during the 12 months preceding the event giving rise to the claim.

To the fullest extent permitted by law, QLAMASTER LTD will not be liable for indirect or consequential loss, loss of anticipated savings, loss of opportunity or loss caused by reliance on outputs that the School has not reasonably reviewed.

19  Third-Party Services

QLAMaster relies on third-party providers for parts of the Service, including hosting, security, payment processing and AI-assisted functionality.

We are not responsible for independent third-party websites or services linked from QLAMaster, except to the extent that responsibility cannot lawfully be excluded.

20  Events Outside Our Control

Neither party will be liable for delay or failure to perform an obligation, other than a payment obligation, where that delay or failure results from circumstances outside its reasonable control.

Examples may include major network outages, natural disasters, acts of government, widespread supplier outages or other events that could not reasonably have been prevented.

21  Changes to the Service or Terms

We may update the Service and these Terms from time to time to reflect product, legal, security or operational changes.

Where a change materially affects existing customers, we will take reasonable steps to provide notice before the change takes effect where appropriate.

The current version of these Terms will be published on the QLAMaster website.

22  Entire Agreement

These Terms, together with any applicable order, written agreement and Data Processing Agreement, form the agreement relating to the School's use of the Service.

Where a separately signed written agreement conflicts with these Terms, the separately signed agreement will take priority to the extent of that conflict.

23  Assignment & Business Transfers

The School may not transfer its rights or obligations under these Terms to another organisation without our prior written consent.

QLAMASTER LTD may transfer, assign or novate its rights and obligations under these Terms in connection with a corporate restructuring, merger, acquisition, investment, sale of the business or sale of relevant business assets.

Any successor responsible for providing the Service will remain subject to applicable contractual and data-protection obligations relating to customer information.

24  Severability

If any provision of these Terms is found to be invalid, unlawful or unenforceable, that provision will be treated as modified to the minimum extent necessary or, where that is not possible, removed.

The remaining provisions will continue in effect.

25  Waiver

A delay or failure by either party to enforce a right under these Terms does not mean that right has been waived.

26  Governing Law & Jurisdiction

These Terms are governed by the laws of England and Wales.

The courts of England and Wales will have jurisdiction over disputes arising in connection with these Terms, subject to any mandatory legal requirements that apply.
